Terms of Service

These Terms of Service ("Terms") govern access to and use of the STRATFIT platform and related services ("Service") operated by Stratfit Pty Ltd ("STRATFIT", "we", "us", "our"), an Australian company. By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and business use

The Service is intended for business and professional users aged 18 or older. You represent that you have authority to bind the organisation on whose behalf you use the Service. Consumer guarantees under the Australian Consumer Law may apply where you are a consumer; these Terms do not exclude non-excludable rights.

2. The Service

STRATFIT provides survivability intelligence, scenario pressure testing, and decision-support tools based on information you supply or connect. Outputs are generated by deterministic analytical models and are intended to support strategic thinking — not to replace professional judgement or certified reporting.

3. Not professional advice

STRATFIT does not provide financial, legal, accounting, tax, or investment advice. All content, scores, indices, narratives, recommendations, exports, and other outputs are general analytical information only, prepared for your internal business use.

They are not:

  • Financial forecasts, predictions, or guarantees of future performance
  • Investment recommendations or securities advice
  • Legal, regulatory, or compliance advice
  • Accounting, audit, or tax advice
  • A substitute for advice from a qualified professional adviser

You must obtain independent professional advice before making significant financial, legal, operational, or investment decisions. Reliance on STRATFIT outputs is at your sole risk.

4. Scenario outputs and disclaimer

STRATFIT produces scenario-based pressure test results from your business profile, assumptions, and data quality. Survivability scores, constraint likelihood estimates, pressure indicators, fracture signals, and recovery readouts reflect structural pressure under those assumptions only.

Actual outcomes depend on factors outside the model, including market conditions, management decisions, and events not captured in a scenario. The same inputs produce the same outputs (deterministic); output quality depends on the completeness and accuracy of inputs.

Where probability or timing language appears, it is scenario-derived and accompanied by the platform disclaimer: this is a scenario pressure test based on entered assumptions — not a forecast guarantee.

5. Your responsibilities

You agree to:

  • Provide accurate, current information and maintain the security of your account
  • Use the Service lawfully and only for authorised business purposes
  • Not reverse engineer, scrape, resell, or misuse the Service or its outputs
  • Ensure anyone you invite complies with these Terms
  • Review outputs critically and supplement with independent verification where required

6. Data and integrations

You retain ownership of data you submit. You grant STRATFIT a limited licence to process that data to operate, secure, and improve the Service. Connected third-party systems (e.g. accounting platforms, payment providers) are subject to their own terms. STRATFIT is not responsible for third-party availability, accuracy, or conduct.

7. Subscription, billing, and cancellation

Paid plans, trials, and founding-member offers are described at checkout and in your account. Fees are billed in advance unless stated otherwise. You may cancel per the billing interface; access continues until the end of the current paid period unless we terminate for cause. Refunds are handled per our billing policy and applicable law.

8. Intellectual property

STRATFIT owns the Service, software, models, branding, and documentation. You receive a limited, non-exclusive, non-transferable licence to use the Service during your subscription. You may not copy, modify, or create derivative works except as permitted by law or written consent.

9. Availability and changes

We aim for reliable availability but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practicable. We may update these Terms; material changes will be notified via the Service or email. Continued use after the effective date constitutes acceptance.

10. Limitation of liability

To the maximum extent permitted by applicable law, STRATFIT and its directors, officers, employees, contractors, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity, arising from or related to the Service or these Terms — whether in contract, tort (including negligence), statute, or otherwise.

Without limiting the above, STRATFIT is not liable for any loss or damage arising from decisions you or third parties make based on Service outputs, including financial, operational, legal, or investment decisions.

Where liability cannot be excluded, our aggregate liability for any claim arising from the Service in any twelve-month period is limited to the greater of (a) the fees you paid to STRATFIT in that period, or (b) AUD $100 — except where a higher minimum is required by the Australian Consumer Law or other non-excludable law.

Nothing in these Terms limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence where exclusion is not permitted by law.

11. Indemnity

You agree to indemnify and hold harmless STRATFIT from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Service, or violation of applicable law — except to the extent caused by our wilful misconduct.

12. Termination

We may suspend or terminate access for breach, non-payment, security risk, or legal requirement. You may stop using the Service at any time. Provisions that by nature should survive (including disclaimers, limitation of liability, and indemnity) survive termination.

13. Governing law

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales, without prejudice to mandatory consumer protections in your place of residence.
